Energy is currently seeking a Contracts Manager to join our dynamic
and fast-growing team. Our Contracts Manager primary role is to
ensure that all company contracts are well-written, legally sound,
and aligned with company goals. In this role, you will also manage
compliance tracking and process development, negotiate contracts,
track compliance obligations, and minimize risks to protect the
organization.Preferred Locations: Eastern or Central Time
ZoneResponsibilities:
- Draft, review, and revise various types of contracts, including
but not limited to vendor agreements, customer contracts,
non-disclosure agreements (NDAs), service agreements, and
partnership agreements.
- Ensure that contract terms align with company policies, risk
tolerance, and regulatory requirements.
- Identify and document compliance obligations embedded within
contracts, such as regulatory requirements, reporting deadlines,
and performance metrics.
- Develop and maintain a compliance tracking system to monitor
contract-specific and organization-wide obligations.
- Regularly review and update stakeholders on compliance statuses
and upcoming deadlines.
- Develop and implement streamlined contract and compliance
management processes and templates to enhance efficiency and
accuracy.
- Lead and facilitate contract negotiations with clients,
vendors, and third parties to achieve favorable terms for the
organization.
- Provide legal and strategic advice to internal stakeholders
during the negotiation process.
- Assess potential risks within contract terms and propose
appropriate mitigation strategies.
- Ensure all contracts comply with applicable laws, regulations,
and internal policies.
- Maintain an organized repository of contracts and
compliance-related documentation.
- Track contract milestones, renewals, compliance deadlines, and
termination dates to ensure timely actions.
- Work closely with procurement, sales, operations, finance, and
other departments to support contractual needs and ensure alignment
with organizational goals.
- Provide training and guidance to employees on contract-related
compliance policies and best practices.
- Provide general legal advice on contractual matters and support
the resolution of disputes arising from contractual
relationships.
- Monitor legal and industry trends to ensure the company remains
compliant and competitive.
- Other duties as assigned.Qualifications:
- Bachelor's degree from an accredited institution in business
management, legal studies, finance, accounting, supply chain
management, or a related field is required; Juris Doctor (J.D.) or
equivalent law degree preferred.
- A minimum of 5 years' experience in contract management, legal
counsel, or a related field.
- Certification in Contract Management (e.g., IACCM or NCMA) is a
plus.
- Previous experience working in a corporate legal department or
law firm environment.
- Experience working in the Utility, Power Generation and/or
Distribution Sector is a plus.
- Proven experience in tracking and managing contractual
compliance obligations.
- Strong understanding of contract law, corporate law, and
regulatory compliance.
- Familiarity with engineering, procurement, and construction
(EPC) agreements.
- Familiarity with services agreements and government procurement
processes.
- Exceptional negotiation, analytical, and problem-solving
skills.
- Excellent attention to detail and organizational skills,
particularly in compliance tracking.
- Proficiency in contract and compliance management software and
tools.
- Exceptional communication and presentation skills, with a
strong customer focus and the ability to effectively convey complex
information to diverse audiences.
- Excellent organizational, time management, leadership, and
decision-making skills, demonstrating a capacity for managing
multiple priorities and driving project success.Other Requirements:
- Ability to travel up to 15% throughout the continental USA,
reflecting flexibility and commitment to project needs.
- The ability to work in high-pressure environments while
managing multiple priorities.
- Ability to pass a background check, ensuring compliance with
organizational standards and policies.Working Conditions:The
working conditions for this role primarily involve a standard
office environment with typical office noise levels. The role
requires prolonged periods of sitting, working at a computer, and
performing tasks that demand visual acuity for reading and typing.
This job may require travel to RMS facilities and other
sites.Physical Requirements:Physical requirements include the
ability to occasionally lift and carry office supplies weighing up
to 20 pounds, the capability to move within the office to access
files, office machinery, and meeting rooms, and fine motor skills
for keyboard use. Proficiency in speaking, hearing, reading, and
typing in English is essential for effective communication and
